Startale Card Cashback Programme

  1. Programme and Eligibility. The Startale Card Cashback Programme (“Programme”) is offered by Startale Labs (BVI) Ltd (the “Company”, “we,” “us,” or “our”) to holders of an eligible Startale Card. We reserve the right to verify and determine your eligibility to the Programme at any time. The Programme is a loyalty program. It is not, and is not intended to be, an offer or sale of any investment, security, or financial product.

    The Cashback Programme described herein is offered and operated exclusively by the Company. It is a cashback program provided by the Company as an independent benefit to holders of Startale Card. This Programme is not sponsored, administered, endorsed, or guaranteed by the card-issuing bank or financial institution that issues the Startale Card (the “Card Issuer”). The Card Issuer bears no obligation or liability of any kind in connection with this Programme, and any dispute or claim relating to the Programme must be directed solely to the Company. Your card account terms and conditions, which are governed by a separate agreement with the Card Issuer, continue to apply independently of these Terms.

  2. Incorporation. The Programme forms part of, and is incorporated into, the Startale App Terms of Service (“Startale App Terms”). Capitalised terms not defined here have the meaning given in the Startale App Terms. For the avoidance of doubt, the governing law, dispute resolution, severance, assignment, third party rights, force majeure, waiver and notice provisions of the Startale App Terms apply to the Programme.

    The Company reserves the right to amend the Programme at any time by posting the revised Programme on the Startale App. Unless otherwise stated in the Programme, the revised Programme shall be effective as indicated by the “Last revised” date indicated at the beginning of the Programme. Users are responsible for keeping themselves informed of the current Programme. Your continued use of the Startale Card will be regarded as acceptance and acknowledgement of any amendments or modifications made to the Programme from time to time, whether or not reviewed by you. If you do not accept the revised Programme, you should not use the Startale Card. Without limiting anything set forth elsewhere in the Programme, we shall not be liable to you or any third party for any losses suffered by any revisions to or termination of the Programme.

  3. Qualifying Transactions. You are eligible to earn Cashback Rewards on eligible purchases of goods and services made for personal, family, or household purposes using your Startale Card, except in respect of any returns, refunds, or credit adjustments (“Qualifying Transactions”). Cashback Rewards percentages are subject to change from time to time in our sole discretion.

    The following transactions are excluded from Qualifying Transactions and are not eligible for any Cashback Rewards: ATM withdrawals, peer-to-peer payments, currency exchange service providers, tax payments, person-to-person transfers, the purchase of gift cards and the purchase of money orders or other cash equivalents, even if used to purchase goods or services. The Company shall have the sole discretion to evaluate, modify or disqualify the eligibility of any transaction at any time, including but not limited to transactions that are unusual or are likely to be for the purpose of abusing the Programme.

  4. USDSC Cashback. Cashback Rewards on Qualifying Transactions are paid to you in USDSC. The USD value of the Cashback Rewards will be determined at the time of the Qualifying Transaction using on-chain price oracles or other reliable pricing data sources determined by the Company in its sole discretion. The amount of USDSC received as Cashback Rewards will be determined based on an exchange rate of 1 USDSC = USD1.00. The Cashback Reward will be sent directly to your relevant wallet in Startale App after settlement of the Qualifying Transaction. The Cashback Reward will be displayed as “Pending” in the Startale App transaction history after authorisation but before the Qualifying Transaction is fully settled.

    The Company may vary the reward token type, pricing methodology, or payout frequency in its sole discretion.

  5. Reversals. Where a transaction that generated Cashback Rewards is later refunded, cancelled, reversed, subject to a merchant credit, or challenged through a chargeback, you agree to pay us or reverse the associated Cashback Rewards. You grant us the right to set-off or reverse such Cashback Reward by, among other things, deducting the relevant amount from your relevant wallet in Startale App, applying an offset against future rewards, or applying an offset or reducing any refund by an amount equal to the USD value of the rewards issued in connection with the original transaction. Any such set-off or reversal action may be processed automatically and without advance notice to you, unless otherwise required by applicable laws.

  6. Cashback Amount. The Cashback Reward varies based on your STAR Points tier: Core, Silver and Gold. Current tier benefits are as set out in app.startale.com/membership. The Company may, in its sole discretion, limit the maximum Cashback Rewards you may earn per period. We reserve the right to vary any parameter of the Cashback Reward in our sole discretion at any time from time to time.

  7. Promotions. We may offer promotional campaigns from time to time on Qualifying Transactions which may increase the rate of Cashback Reward for certain tiers. Any such promotional rewards are subject to this Programme.

  8. Errors and Disputes. If you believe your Cashback Rewards have not been credited correctly or that an error has occurred, you should immediately contact us at [email protected] with all relevant details to enable us to investigate the matter. Any dispute or claim relating to Cashback Rewards must be raised to us within sixty (60) days from the date of the statement reflecting the relevant transaction or error, failing which the matter may be deemed irrevocably waived by you.

  9. Good Standing. To be eligible to receive Cashback Rewards, your Startale Card account must remain active and in good standing, and must be operated in a lawful and satisfactory manner as determined by the Company in its sole discretion at the time the Cashback Rewards are credited. If your Startale Card account becomes delinquent, is suspended, restricted, terminated, or closed (whether voluntarily or involuntarily) before the Cashback Rewards are credited, the Company may, in its sole discretion, decline to award or credit such Cashback Rewards.

  10. Prohibited Conduct. The Company may, in its sole discretion, suspend, restrict, or terminate your participation in the Programme, or disqualify you from earning or redeeming Cashback Rewards, if the Company suspects or determines that you have engaged in fraudulent, abusive, or improper conduct in connection with your Startale Card, the Programme, or any Cashback Rewards. This includes, without limitation, actions intended to manipulate, exploit, or otherwise misuse the Programme, including excessive refunds, reversals, or other transactions undertaken primarily for the purpose of generating Cashback Rewards. Any suspension, restriction, or termination may be temporary or permanent, as determined by the Company in its sole discretion.

    The Company may review your activity at any time to assess compliance with the Programme. Where the Company determines that Cashback Rewards were earned, received, or retained in breach of the Programme, you agree to pay the Company the associated Cashback Rewards. You grant the Company the right to withhold, reverse, cancel, recover, set-off, or reclaim such Cashback Rewards. The Company may effect such recovery by debiting your relevant wallet in Startale App, offsetting future Cashback Rewards, offsetting or reducing any refund amount, or taking any other reasonable action to recover the USD-equivalent value of the Cashback Rewards associated with the relevant transaction(s).

  11. Modifications; Termination. We reserve the right in our sole discretion to modify, upgrade, suspend, or discontinue, whether temporarily or permanently, any part of the Programme (or any features or elements thereof) at any time and without liability. You agree that we will not be liable to you or to any third party for any modification, suspension or discontinuance of any part of the Programme.

    In the event the Programme is terminated, all Cashback Rewards that have not been credited to you at the time of termination may be forfeited.

BY USING YOUR STARTALE CARD, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THE PROGRAMME.
